GENERAL TERMS AND CONDITIONS OF SALE

Article 1 – Scope and Parties
1.1 Identity of the Supplier
These General Terms and Conditions of Sale (the “Terms”) apply to all offers, quotations, orders and sales of products by Wild & Soft BV, having its registered office at Sint-Corneliusstraat 4, 8800 Roeselare, Belgium, registered with the Crossroads Bank for Enterprises under number BE0880.251.442 and VAT number BE0880.251.442 (“Wild & Soft”, “Supplier”, “we”, “us” or “our”), including through the B2B webshop accessible at https://wildandsoft.odoo.com/ (the “Webshop”).
1.2 Applicability of These Terms
These General Terms and Conditions of Sale apply to all offers, quotations, orders and sales by Wild & Soft.
1.3 Business Customers Only
These Terms apply only to customers acting for professional or business purposes.
1.4 Exclusion of Customer Terms
The Customer’s own terms do not apply unless Wild & Soft expressly accepts them in writing.
1.5 Priority of Written Agreements
If these Terms conflict with a signed written agreement, the signed agreement prevails.
Article 2 – Products and Intended Use
2.1 Product Range
Wild & Soft sells decorative animal heads, toys, accessories, bags, dress-up products, rugs, cushions, beanbags, plush items and related children’s decorative and play items.
2.2 Product Classification
Some Products are decorative items, some are toys, and some are intended for children’s rooms, nurseries or playrooms.
2.3 Resale in Accordance with Instructions
The Customer must market and resell Products according to the supplied product information, safety warnings and intended use.
2.4 Restricted Uses
Products are not intended for professional playground use, public outdoor installations, unsafe modification or abnormal use unless stated otherwise.
Article 3 – Product Compliance, Safety and Warnings
3.1 Product Safety Compliance
Wild & Soft ensures that applicable toy Products comply with EU and Belgian product safety requirements.
3.2 Safety Information Provided
Wild & Soft provides required warnings, labels, safety icons and instructions where legally required.
3.3 No Alteration of Safety Information
The Customer may not remove, alter, obscure or misuse CE markings, warnings, age indications or safety information.
3.4 Customer Responsibility for Local Compliance
The Customer is responsible for local warning, language, labelling and resale requirements in its own market.
3.5 Responsibility for Repackaging or Relabelling
If the Customer repackages, relabels, modifies or sells Products under private label, the Customer is responsible for legal compliance.
Article 4 – Offers, Product Information and Availability
4.1 Non-Binding Product Information
Product descriptions, catalogues, prices, stock indications and visuals are for information only unless stated otherwise.
4.2 Minor Product Variations
Minor variations in colour, fabric, dimensions, finish or packaging do not count as defects if the essential characteristics remain unchanged.
4.3 Product Availability
Product availability depends on stock and supply. Wild & Soft may change or discontinue Products for future orders.
Article 5 – Prices, Taxes and Additional Costs
5.1 Prices Exclude Taxes and Costs
Prices are in euros and exclude VAT, customs duties, transport insurance and other costs unless stated otherwise.
5.2 VAT Treatment
VAT treatment is determined according to the applicable tax rules at the time of order and shipment.
5.3 Additional Charges
Packaging, shipping, palletisation, customs formalities, handling and related costs may be charged separately.
5.4 International Delivery Costs
For deliveries outside Belgium, the Customer bears import duties, customs charges, taxes and local regulatory costs unless agreed otherwise.
5.5 Price Changes
Wild & Soft may change prices for future orders. Confirmed orders remain subject to the confirmed price.
Article 6 – Orders and Formation of Contract
6.1 Ordering Channels
Orders may be placed through the Webshop or any other accepted ordering channel.
6.2 Order Receipt Is Not Acceptance
An automatic order receipt does not mean the order has been accepted.
6.3 Contract Formation
A contract is formed only when Wild & Soft confirms the order in writing or starts executing it.
6.4 Right to Refuse or Suspend Orders
Wild & Soft may refuse or suspend orders for reasons such as stock shortages, pricing errors, payment issues or export restrictions.
Article 7 – Delivery, Collection, Risk and Retention of Title
7.1 Ex Works Delivery
Unless agreed otherwise, Products are made available Ex Works at Wild & Soft’s premises in Roeselare, Belgium.
7.2 Indicative Delivery Times
Delivery, preparation and collection times are indicative only and are not guaranteed deadlines.
7.3 Transport Arranged as an Ancillary Service
If Wild & Soft arranges transport, this does not change the agreed risk and cost allocation unless agreed otherwise.
7.4 Transfer of Risk
Risk passes to the Customer when the Products are made available for collection or handed over according to the agreed Incoterm.
7.5 Retention of Title
Products remain Wild & Soft’s property until full payment has been received.
Article 8 – Inspection, Complaints and Returns
8.1 Immediate Inspection
The Customer must inspect Products immediately upon receipt or collection.
8.2 Visible Defects
Visible defects, transport damage, shortages or delivery errors must be reported in writing within 8 working days after receipt of the Products.
8.3 Hidden Defects
Hidden defects must be reported within five (5) working days after discovery.
8.4 Acceptance Through Use or Resale
Use, resale, processing or onward delivery of Products may be considered acceptance.
8.5 Returns Require Approval
Returns are only accepted with Wild & Soft’s prior written consent.
Article 9 – Warranty and Remedies
9.1 Product Warranty
Wild & Soft warrants that Products substantially conform to the specifications expressly agreed in writing and are free from material defects under normal and intended use.
9.2 Warranty Period
Unless agreed otherwise, the warranty period is six (6) months.
9.3 Warranty Exclusions
The warranty does not cover damage caused by misuse, improper storage, incorrect mounting, modification, relabelling or abnormal use.
9.4 Available Remedies
Wild & Soft may repair, replace or issue a credit note for valid warranty claims.
9.5 Exclusive Remedies
These remedies are the Customer’s exclusive remedies for defects or non-conformity.
Article 10 – Product Safety Incidents, Corrective Measures and Recall
10.1 Immediate Notification
The Customer must immediately inform Wild & Soft of any product safety complaint, incident or authority inquiry.
10.2 Cooperation with Corrective Measures
The Customer must cooperate with safety warnings, withdrawals, recalls or corrective measures.
10.3 Public Communication and Recalls
The Customer may not independently issue public safety communications or recalls without consulting Wild & Soft, unless legally required.
10.4 Customer-Caused Safety Issues
If a safety issue is caused by the Customer’s relabelling, repackaging, alteration or misuse, the Customer bears the related costs.
Article 11 – Marketing, Resale and Territory Responsibilities
11.1 Accurate Marketing
The Customer must use accurate and lawful product descriptions, images, translations and safety information.
11.2 Decorative Products Must Not Be Marketed as Toys
The Customer may not market decorative Products as toys where Wild & Soft has classified them as decorative only.
11.3 Local Market Compliance
The Customer is responsible for checking import, customs, labelling, language, toy registration and other local rules.
11.4 No Guarantee for Non-EU Compliance
Wild & Soft does not guarantee that Products comply with local non-EU legal requirements unless agreed otherwise.
Article 12 – Payment Terms
12.1 Payment Deadline
Invoices are payable within thirty (30) calendar days unless agreed otherwise.
12.2 Late Payment
Late payment automatically triggers statutory interest and a fixed recovery compensation of EUR 40.
12.3 Suspension for Non-Payment
If payment is late, Wild & Soft may suspend deliveries and require advance payment or security.
Article 13 – Liability
13.1 Liability Cap
Wild & Soft’s total liability is limited to the invoice value of the specific Products giving rise to the claim.
13.2 Exclusion of Indirect Damages
Wild & Soft is not liable for indirect or consequential damages, including loss of profit, turnover or goodwill.
13.3 Mandatory Liability Exceptions
Nothing excludes liability that cannot legally be excluded.
13.4 Duty to Mitigate
The Customer must take reasonable steps to prevent or reduce damage.
Article 14 – Force Majeure
14.1 Events Beyond Control
Wild & Soft is not liable for delays or failure caused by events beyond its reasonable control.
14.2 Suspension of Obligations
Wild & Soft’s obligations are suspended for the duration of the force majeure event.
14.3 Termination After 30 Days
If force majeure continues for more than thirty (30) calendar days, either party may terminate the affected part of the contract without compensation.
Article 15 – Intellectual Property
15.1 Ownership of Rights
All intellectual property rights remain owned by Wild & Soft or its licensors.
15.2 Limited Use of Marketing Materials
The Customer may use Wild & Soft images and marketing materials only to promote genuine Wild & Soft Products.
15.3 No Copying or Registration of Similar Rights
The Customer may not copy, adapt, register or use confusingly similar trademarks, designs, names or domains.
Article 16 – Confidentiality and Data Protection
16.1 Confidential Information
Each party must keep non-public commercial, technical and business information confidential.
16.2 Personal Data
Personal data is processed according to applicable data protection laws and Wild & Soft’s Privacy Policy. Privacy Policy.
16.3 Data Processing Agreement
Where required, the parties shall enter into a separate data processing agreement.
Article 17 – Termination
17.1 Separate Contracts
Each accepted order is a separate contract unless a broader framework agreement exists.
17.2 Termination for Breach or Insolvency
Wild & Soft may terminate immediately if the Customer materially breaches the contract or becomes insolvent.
17.3 Survival of Rights
Termination does not affect accrued rights, payment obligations or provisions intended to survive termination.
Article 18 – Governing Law and Jurisdiction
18.1 Belgian Law
These Terms are governed by Belgian law, excluding conflict-of-law rules and the CISG.
18.2 Courts of Kortrijk
Disputes fall under the exclusive jurisdiction of the competent courts of West Flanders, division Kortrijk, unless mandatory law provides otherwise.
Article 19 – Language, Severability and Miscellaneous
19.1 English Version Prevails
If there are different language versions, the English version prevails.
19.2 Invalid Provisions
If one provision is invalid, the remaining provisions remain valid.
19.3 Replacement Provision
Invalid provisions shall be replaced by valid provisions reflecting the original economic intent.
19.4 No Waiver
Failure by Wild & Soft to exercise a right does not constitute a waiver.
19.5 Amendments
Wild & Soft may amend these Terms for future orders.
